When to update Companies House

Companies House is the official registrar of limited companies in the UK.

If you have a limited company registered with Companies House, you are required to keep your company information up to date.

Here are some instances where you may need to update Companies House;

  1. Changes in company details.

    You should update Companies House if there are any changes in the company’s registered details, such as the company name, registered office address, directors details, or share structure.

  2. Confirmation Statement.

    Every limited company is required to submit an annual confirmation statement to Companies House. This statement confirms that the registered details are up to date or provides any necessary updates.

  3. Financial Statements.

    You will need to file annual financial statements (company accounts) with Companies House. Limited companies typically submit their company accounts on an annual basis. This may not be the case where the limited company’s accounting year end has been shortened or extended.

  4. Changes in share capital.

    If there are any changes in your company’s share capital, such as issuing new shares, transferring shares, or altering the share structure, you should update Companies House accordingly.

  5. Changes to your ‘people with significant control’ (PSC) information.

    PSCs also know as ‘beneficial owners’ are individuals, companies and other legal entities who own or control the company. You must identify any PSCs and tell Companies House who they are. This might be you, or someone associated with the company. A company can have one or more PSCs.

The specific deadlines and procedures for updating information with Companies House can vary depending on your company’s circumstances. It is advisable to regularly review the company details and submit any necessary updates promptly to comply with legal requirements.

Failure to update Companies House as required can result in the limited company being dissolved.
